Metacon acquires Helbio

Metacon has agreed to purchase the remaining 41.13 percent of Helbio Holdings SA shares in an all-stock transaction today. Since before, Metacon has owned 58.87 percent of Helbio.

Helbio Holdings will become a wholly owned subsidiary of Metacon in the product categories hydrogen generation and energy systems following the acquisition. The shares are being purchased from a number of different shareholders for a total value of around SEK 315 million.

Metacon will pay a total consideration of SEK 129.4 million for the 41.13 percent stake by issuing 23,556,273 Metacon shares at a fixed price of SEK 5.50 per share. Following the Helbio transaction, Metacon will have 256,763,575 shares issued and outstanding.
